Terms and conditions of sale
Version effective 1 January 2026 · between businesses (B2B)
1. Purpose and acceptance
These Terms and Conditions of Sale (the "Terms") govern the commercial relationship between CGGK (hereinafter "the Seller"), operating the ecofrost.eu website, and any business customer (hereinafter "the Buyer") wishing to purchase a containerised or mobile cold room.
Any order implies the Buyer's unreserved acceptance of these Terms, which the Buyer acknowledges having read before placing the order.
2. Territorial restriction
Delivery and sale reserved for customers established in the United Kingdom, France, Germany, Italy and Spain. Any order originating from Belgium, the Netherlands or Luxembourg will be refused and any deposit received will be refunded within 14 days.
This restriction is due to strategic brand-protection considerations and cannot be lifted on an individual basis. For other EU countries, contact us for a case-by-case review.
3. Prices and payment terms
Prices are stated in euros, excluding tax (ex VAT). French VAT at the rate in force (20%) applies to deliveries within France; for intra-community deliveries (DE/IT/ES) with a valid EU VAT number, invoicing is ex VAT (reverse charge by the Buyer).
United Kingdom: orders are delivered duty paid (DDP) to the Buyer's UK site. Customs clearance and import formalities are handled by the Seller; UK import duties are included in the quoted price. UK VAT at the rate in force (20%) is added to the invoice and is recoverable by VAT-registered businesses.
Payment terms:
- 50% deposit on signing the quote, by bank transfer
- 50% balance on delivery of the equipment, by bank transfer
Custom-made products: for any cold room configured or built to the Buyer's own specifications (non-standard dimensions, specific refrigeration unit, dedicated interior fit-out, particular temperature or voltage), full payment of 100% is required at the time of order: it is the complete payment that triggers the start of production. As equipment designed to the Buyer's specifications cannot be resold as-is, no cancellation or return is possible once the quote has been validated.
Any late payment will incur, in accordance with Article L.441-10 of the French Commercial Code, late-payment penalties equal to three times the legal interest rate, plus a fixed recovery compensation of €40.
4. Delivery
Indicative lead time: 8 to 12 weeks from receipt of the deposit. The lead time is not a strict deadline; any delay shall not engage the Seller's liability, in particular in the event of force majeure (carrier strikes, weather conditions, port blockages, geopolitical events).
The Buyer is responsible for site preparation (concrete slab, crane-truck access, prepared electrical connection). Unloading is carried out by crane truck; commissioning of the cold room is the Buyer's responsibility (or that of the partner refrigeration engineer for uncharged models).
The Seller reserves the right to have delivery recorded by a bailiff or a duly empowered agent. In particular, for any order exceeding €4,000 excl. VAT, one or more agents appointed by CGGK attend in person to record the handover of the equipment at the Buyer's site; the Buyer undertakes to grant them free access on the agreed day and accepts that their report shall be authoritative as to the conformity, apparent condition and effective handover of the equipment.
5. Transfer of ownership and risk
Transfer of ownership is suspended until full payment of the price. Transfer of risk takes place on delivery, which constitutes acceptance of the goods unless a written reservation is made within 48 business hours.
6. Warranty
The equipment carries a transferable 2-year warranty, parts and labour, from the date of delivery. The warranty covers manufacturing defects and component failures. Excluded from the warranty are: normal wear and tear, damage due to improper use, damage related to inadequate site preparation, and consumable components.
7. Compliance
The equipment delivered complies with the standards in force: CE marking, EN 378, ATEX 2014/34/EU (for R290 installations), F-Gas Regulation (EU) 2024/573. The CE declaration of conformity is provided on delivery.
8. Liability
The Seller's liability is limited to direct damage attributable to a defect in the equipment, up to the ex-VAT price invoiced. Under no circumstances shall the Seller be held liable for indirect damage (loss of goods, business interruption, loss of turnover).
9. Governing law and jurisdiction
These Terms are governed by French law. In the event of a dispute, and after an attempt at amicable resolution, the Toulouse Commercial Court shall have exclusive jurisdiction, including in the event of multiple defendants or warranty claims.
10. Data protection
Personal data collected in connection with the order is processed in accordance with our privacy policy, compliant with the GDPR.
